PROPRIETARY SOFTWARE LICENSE AGREEMENT

IMPORTANT - READ CAREFULLY: This License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and TakeNTrade for the software library identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

1. GRANT OF LICENSE

Subject to the terms and conditions of this Agreement, TakeNTrade grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for purposes authorized by TakeNTrade in writing.

2. RESTRICTIONS

You may NOT:

a) Use the Software without prior written authorization from TakeNTrade
b) Distribute, sublicense, lease, rent, loan, or otherwise transfer the Software to any third party
c) Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software
d) Remove or alter any proprietary notices, labels, or marks on the Software
e) Use the Software for any purpose other than as expressly authorized by TakeNTrade
f) Copy the Software except for backup purposes as expressly permitted
g) Use the Software in any manner that competes with TakeNTrade's business interests

3. OWNERSHIP

The Software is licensed, not sold. TakeNTrade retains all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not grant you any rights to trademarks, service marks, or trade names of TakeNTrade.

4. AUTHORIZED USE

Use of this Software is restricted to:

a) Employees, contractors, and authorized personnel of TakeNTrade
b) Entities or individuals who have entered into a separate written agreement with TakeNTrade
c) Projects and applications explicitly approved by TakeNTrade in writing

Any use outside of these authorized purposes is strictly prohibited and constitutes a material breach of this Agreement.

5. CONFIDENTIALITY

You acknowledge that the Software contains proprietary and confidential information of TakeNTrade. You agree to maintain the confidentiality of the Software and not to disclose it to any third party without the prior written consent of TakeNTrade.

6. TERMINATION

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from TakeNTrade if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies, full or partial, of the Software.

7. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TAKENTRADE DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. LIMITATION OF LIABILITY

IN NO EVENT SHALL TAKENTRADE BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF TAKENTRADE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless TakeNTrade and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

a) Your use of the Software
b) Your violation of any term of this Agreement
c) Your violation of any third-party right, including without limitation any copyright, property, or privacy right

10. AUDIT RIGHTS

TakeNTrade reserves the right to audit your use of the Software to ensure compliance with this Agreement. You agree to cooperate with such audits and provide reasonable access to relevant records and systems.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which TakeNTrade is registered, without regard to its conflict of law provisions.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and TakeNTrade concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software or any other subject matter covered by this Agreement.

14. ACKNOWLEDGMENT

BY USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

UNAUTHORIZED USE OF THIS SOFTWARE IS STRICTLY PROHIBITED AND MAY RESULT IN SEVERE CIVIL AND CRIMINAL PENALTIES.
