Persona UI Libraries License Agreement

This License Agreement (“Agreement”) governs your use of any Persona UI libraries, including all vector files, Figma components, JavaScript components, UI elements, and related design assets or JavaScript code (which may be referred to as the “Components” and “Primitives”), made available by Persona Identities, Inc. (“Persona,” “we,” “us,” or “our”).

By downloading, accessing, copying, or using any Persona UI libraries, you agree to this Agreement. If you do not agree, do not use any Persona UI libraries.

If you are using the Persona UI libraries on behalf of a company or organization, you represent that you have authority to bind that entity to this Agreement.

1. License Grant (Free, Proprietary License)

Persona grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to:
Use the Components or Primitives in applications that integrate with or use Persona products.
Use the Components or Primitives in mockups, demos, prototypes, or internal tools.
Use the Components or Primitives for educational purposes (e.g., school projects, hackathons).
Use the Components or Primitives in personal or side projects that do not compete with Persona.
Modify, resize, and adapt the Components or Primitives for the above purposes.

You may incorporate the Components or Primitives into compiled applications, rendered user interfaces, or static exports (e.g., PNG, PDF, design prototypes), provided the Components or Primitives are not distributed in extractable source format.

All rights not expressly granted are reserved by Persona.

2. Ownership

The Components or Primitives are licensed, not sold. Persona and its licensors retain all right, title, and interest in and to the Components or Primitives, including all intellectual property rights.

This Agreement does not grant you any ownership rights in the Components or Primitives.

3. Restrictions

You may not:

(a) Redistribute the Components or Primitives as Assets
Sell, sublicense, publish, share, or otherwise redistribute the Components or Primitives in source, editable, or extractable format, including:
Uploading to public repositories (including GitHub) as standalone assets
Distributing via design systems or shared Figma libraries accessible outside your organization
Posting to asset marketplaces
Making them available as downloadable files

(b) Use in Competitive Products
Use the Components or Primitives in connection with the development, marketing, or sale of any product or service that competes with Persona’s identity verification, onboarding, fraud prevention, or related services.

(c) Open Source Distribution
Include the Components or Primitives in any open source project or distribute them under any open source or similar license.

(d) Standalone Commercialization
Use the Components or Primitives as a standalone product or as the primary value of a product or service.

(e) Illegal or Harmful Use
Use the Components or Primitives for any unlawful, fraudulent, deceptive, infringing, or harmful purpose.

(f) Remove Notices
Remove or alter any proprietary rights notices included with the Components or Primitives.

(g) Imply Endorsement
Use the Components or Primitives in a way that suggests Persona sponsors, endorses, or is affiliated with your project beyond your legitimate use of Persona products.

4. Termination

This Agreement is effective upon your first download or use of the Components or Primitives and continues until terminated.

Persona may terminate this Agreement if you violate its terms. Upon termination, you must stop using the Components or Primitives and delete all copies in your possession or control, except as embedded in applications distributed in compliance with this Agreement prior to termination.

5. Disclaimer

The Components or Primitives are provided “AS IS” without warranties of any kind, whether express, implied, or statutory. Persona disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

6. Limitation of Liability

To the maximum extent permitted by law, Persona will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Components or Primitives.

Persona’s total cumulative liability under this Agreement will not exceed USD $100.

7. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.
